Purpose and publisher
These terms govern the use of Oxpium, B2B sales prospecting software published by Oxpium SAS, a French simplified joint-stock company with a share capital of €1,000, registered with the Toulon Trade and Companies Register under number 109 090 134, with its registered office at 23 avenue Marie Bonnafoux, 83110 Sanary-sur-Mer, France. Contact: contact@oxpium.com.
Creating an account or using Oxpium means accepting these terms. Where a specific agreement has been signed with Oxpium, its provisions prevail over these terms in case of conflict.
Business use only
Oxpium is intended exclusively for professionals, for their business. A person creating an account on behalf of an organization represents that they are authorized to bind it. Each user is responsible for keeping their credentials confidential and for any use of their account.
The service
Oxpium lets users build lists of companies and business contacts, look up and verify business contact details, prepare and send email sequences from connected mailboxes, follow replies, and run these actions through an artificial intelligence agent. Available features depend on the plan subscribed and may change over time.
Mailboxes and domains
Connected mailboxes. Users may connect their own Google or Microsoft mailbox through the official authorization screen of these providers. They may revoke this authorization at any time, from Oxpium or from their Google or Microsoft account.
Mailboxes and domains purchased through Oxpium. Domains are registered in the customer's name. Mailboxes are provided through third-party providers and remain subject to Google's and Microsoft's terms, which may restrict or suspend a mailbox or a domain under their own rules. Oxpium guarantees neither the permanent availability of a mailbox nor inbox placement of a message, which also depends on the recipient's filters.
User obligations
Users agree to use Oxpium in compliance with applicable law, in particular the GDPR and the rules on business-to-business electronic prospecting. In particular, they agree to:
- only send messages related to the recipient's professional role;
- honor any objection immediately;
- not send unlawful, misleading or fraudulent content, or content infringing third-party rights;
- not impersonate any person or organization;
- not circumvent the sending limits set by Oxpium, Google or Microsoft;
- not use Oxpium for phishing, malware distribution or bulk unsolicited email.
Users remain solely responsible for the content of the messages they write or approve, and for their campaigns.
Personal data
For the campaigns run with Oxpium, the customer is the controller and Oxpium acts as processor, under the data processing agreement provided to the customer. For its own professional profile database and for user accounts, Oxpium is the controller. Details are in the privacy policy.
Artificial intelligence
The agent suggests lists, analyses and messages. These suggestions may contain errors: users review them and remain in control of what is sent. No email is sent without being approved by a user, either directly or through a sequence they approved.
Pricing and payment
Prices, included credits and their consumption rules are those of the plan subscribed, as displayed at the time of subscription or set out in the agreement. Subscriptions are payable in advance. Late payment may lead to suspension of the service after an unanswered reminder.
Suspension and termination
Oxpium may suspend an account, a mailbox or a campaign, immediately in an emergency, when a use breaches these terms or threatens the security of the service, its sending reputation or third-party rights. Customers may terminate their subscription under the terms of their plan. At the end of the agreement, customer data is returned on request, then deleted within 30 days.
Liability
Oxpium is bound by an obligation of means. Oxpium is not liable for the commercial results of campaigns, for decisions made by Google, Microsoft or recipients' filters, or for the consequences of a use that does not comply with these terms. Except in case of gross negligence or willful misconduct, Oxpium's total liability is limited to the amounts paid by the customer in the twelve months preceding the event giving rise to the claim.
Intellectual property
Oxpium, its software and its content remain the property of Oxpium SAS. Customers retain ownership of their data and of the messages they write, and grant Oxpium the right to process them solely as needed to provide the service.
Changes to these terms
Oxpium may amend these terms. Any material change is announced at least 30 days before it takes effect; a customer who refuses it may terminate before that date.
Governing law
These terms are governed by French law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the Commercial Court of Toulon.
